Operator and acceptance

The Dalilou Partner Program (the “Program”) is operated by:

Chabir LLC 254 Chapman Road, Ste 208 #14678 Newark, DE 19702 United States contact@dalilou.com

Chabir LLC operates the Dalilou brand and is referred to in these Affiliate Program Terms as “Dalilou”, “we”, “us” or “our”.

By submitting an application, accessing a Dalilou partner account, using a Dalilou referral link, referring a customer or receiving a commission through the Program, you agree to be bound by these Affiliate Program Terms.

If you do not agree with these Terms, you must not participate in the Program.

02

Eligibility and partner approval

Participation in the Program is subject to approval by Dalilou. Submission of an application does not guarantee acceptance.

Partners must have the legal capacity to enter into a binding agreement and must provide accurate, complete and current information when applying to or participating in the Program.

The Program is intended for legitimate businesses, agencies, freelancers, consultants, web professionals, content creators, automation specialists and other professionals who wish to recommend Dalilou to relevant prospective customers.

Dalilou may approve, reject or request additional information regarding an application, including information concerning a partner’s website, audience, business, promotional methods or intended use of the Program.

A partner account may not be sold, transferred or shared with another person or business without prior written permission from Dalilou.

03

Commission structure

The Dalilou Partner Program uses a two-tier recurring commission structure.

Starting tier Partner — 10%

Approved partners start by earning a 10% recurring commission on eligible referred subscription revenue.

Growth tier Growth Partner — 20%

Partners become eligible for a 20% recurring rate after generating at least €300 in cumulative validated referred revenue.

The €300 threshold is based on cumulative validated referred revenue, rather than revenue generated during a single month.

Revenue counts toward the threshold only after Dalilou has received the corresponding eligible customer payment and that revenue has been validated.

Once the €300 threshold has been reached and confirmed, Dalilou may upgrade the partner to Growth Partner status.

The Growth Partner rate is not retroactive.

Revenue and commissions generated before the Growth Partner upgrade remain subject to the commission rate that applied when they were earned.

The 20% rate applies to eligible future revenue after the Growth Partner upgrade becomes effective.

Once legitimately obtained, Growth Partner status is not automatically lost merely because a partner generates less than €300 during a later month. Dalilou may nevertheless change, suspend or revoke partner status in accordance with these Terms.

Eligible recurring commissions may be earned for a maximum of 12 months per referred customer, beginning from that customer’s first successful eligible paid subscription transaction.

A plan upgrade, downgrade, cancellation, reactivation or other subscription change does not automatically restart the 12-month commission period.

04

Eligible revenue

Commissions are calculated only on eligible subscription revenue actually received by Dalilou.

Eligible subscriptions may include Dalilou Starter, Pro and Business plans where the related transaction has been successfully paid and remains valid after the applicable hold period.

Commissionable revenue

  • Eligible paid Dalilou subscriptions.
  • Eligible subscription renewals occurring during the applicable 12-month commission period.
  • Eligible plan upgrades occurring during that same commission period.

Non-commissionable revenue

  • Free trials or other periods during which no eligible customer payment is collected.
  • Additional Dalilou lead packs.
  • Products, modules, add-ons, services or transactions that Dalilou identifies as non-commissionable.
  • Taxes, including VAT, sales tax or similar taxes.
  • Refunded or reversed amounts.
  • Chargebacks and disputed payments.
  • Failed, cancelled or unpaid invoices.
  • Credits, complimentary access or promotional balances for which Dalilou receives no eligible payment.
  • Fraudulent, artificial or otherwise invalid transactions.

Where a discount or promotional price applies, the commission is based on the eligible amount actually paid by the customer, rather than the undiscounted list price.

05

Referral attribution

Referral tracking is performed using the tracking technology associated with the Dalilou Partner Program.

The standard attribution window is 60 days.

Unless otherwise stated for a particular campaign, the Program uses a last-click attribution model.

Where a prospective customer interacts with more than one qualifying partner referral before conversion, the most recent valid qualifying referral may receive attribution.

A referral qualifies only where the tracking and conversion records available to Dalilou reasonably establish a valid partner attribution.

Dalilou cannot guarantee attribution where cookies or tracking identifiers are deleted, blocked, modified or unavailable, or where a user prevents the relevant tracking technology from functioning.

No retroactive referrals. A customer who subscribed without a valid tracked referral will not ordinarily be reassigned to a partner solely because the customer or partner later states that a recommendation occurred.

06

Commission hold and payouts

Commissions are subject to a standard 30-day hold period before becoming eligible for payout.

The hold period allows Dalilou to account for refunds, cancellations, disputes, chargebacks, fraudulent activity and other adjustments.

Eligible validated commissions are generally processed on a monthly basis.

The standard minimum payout threshold is €50.

Where a partner’s eligible payable balance remains below €50, that balance may be carried forward until the minimum payout threshold is reached.

Partners are responsible for maintaining accurate payout information and completing any identity, tax, payment or other verification reasonably required by Dalilou or a payment provider used for partner payouts.

Dalilou may delay a payout while investigating suspected fraud, invalid referrals, chargebacks, payment disputes, incomplete account information or a potential violation of these Terms.

07

Refunds, chargebacks and reversals

A commission remains dependent upon the validity of the corresponding customer payment.

If a transaction is refunded, reversed, disputed, charged back, cancelled or otherwise invalidated, Dalilou may cancel, reduce or reverse the corresponding commission.

Partial refunds may result in a proportional adjustment to the associated commission.

If an affected commission has already been paid, the relevant amount may be deducted from future commissions or otherwise recovered where legally permitted.

08

Marketing and disclosure obligations

Partners must promote Dalilou honestly, accurately and in accordance with advertising, marketing, privacy, consumer-protection and other laws or platform policies applicable to their activities.

Partners must accurately represent Dalilou’s features, pricing, plans, trial periods and capabilities.

Partners may not promise results, features, guarantees, discounts or commercial terms that have not been authorized by Dalilou.

Where applicable law or platform policy requires disclosure of an affiliate or commercial relationship, the partner must make that disclosure clearly and visibly.

An appropriate disclosure may state:

“This page contains a Dalilou partner link. I may receive a commission if you subscribe through my link.”

09

Prohibited activities

Partners must not use methods that manipulate attribution, mislead prospective customers, generate artificial commissions or damage Dalilou or its reputation.

Prohibited activities include, without limitation:

  • Self-referrals intended to obtain commission on the partner’s own Dalilou subscription.
  • Creating fake customers, accounts or transactions.
  • Cookie stuffing or forced referral tracking.
  • Hidden links, deceptive redirects or misleading tracking techniques.
  • Fraudulent or collusive transactions.
  • Sending unsolicited bulk commercial communications or spam.
  • Impersonating Dalilou or falsely presenting oneself as an employee, legal representative or official representative of Dalilou.
  • Making false or misleading claims concerning Dalilou.
  • Promoting unauthorized discount codes, coupons or offers.
  • Operating unauthorized cashback or financial incentive schemes using Dalilou referral links.
  • Registering domain names, social-media identities, advertising accounts or other identifiers intended to imitate or cause confusion with Dalilou.

Paid search and trademark bidding

Unless Dalilou gives prior written authorization, partners may not purchase or bid on paid-search keywords containing “Dalilou”, misspellings or confusingly similar variations of the Dalilou name, or other Dalilou trademarks for the purpose of obtaining partner commissions.

Partners may promote Dalilou through legitimate educational content, reviews, websites, social media, newsletters and advertising campaigns that comply with these Terms and applicable law.

10

Dalilou brand and intellectual property

Subject to continued compliance with these Terms, approved partners may use approved Dalilou brand materials solely for the legitimate purpose of promoting Dalilou under the Program.

This permission is limited, non-exclusive, revocable and non-transferable.

Dalilou trademarks, logos, designs, software, documentation, website content and other intellectual property remain the property of Dalilou or their respective rights holders.

A partner may not modify Dalilou branding in a misleading manner, imply a relationship beyond participation in the Program, or use Dalilou intellectual property for unrelated products or services.

Dalilou may require a partner to remove or modify promotional content that Dalilou reasonably considers inaccurate, misleading or inconsistent with its brand.

11

Suspension and termination

A partner may stop participating in the Program at any time.

Dalilou may suspend or terminate a partner account where it reasonably identifies suspected fraud, abuse, harmful conduct, misuse of the Dalilou brand, a material violation of these Terms or activity that creates legal, financial, security or reputational risk.

Following termination, the partner must stop presenting themselves as an active Dalilou partner and must stop using any Dalilou materials that they no longer have permission to use.

Legitimately earned and validated commissions existing before termination may remain payable subject to these Terms.

Dalilou may cancel commissions associated with fraud, invalid referrals, artificial transactions, prohibited conduct or a material violation of these Terms.

12

General provisions

Participation in the Program does not create an employment, franchise, partnership, joint venture or legal agency relationship between the partner and Dalilou.

Dalilou does not guarantee that affiliate tracking technology, partner dashboards or related third-party systems will operate continuously or without error.
