Terms of Service

These Terms of Service govern access to and use of Dalilou, including our website, SaaS platform, WordPress, WooCommerce and Shopify integrations, and AI Sales Agent services operated by Chabir LLC.

Effective date: 20 August 2026 Last updated: 23 September 2026

Dalilou is a business software service operated by Chabir LLC. By creating an account, starting a trial, purchasing a subscription or otherwise using Dalilou, you agree to these Terms of Service.

01

Agreement to these Terms

These Terms of Service (“Terms”) form a legal agreement between you or the organization you represent (“Customer”, “you” or “your”) and Chabir LLC, operating the Dalilou brand (“Dalilou”, “we”, “us” or “our”).

By accessing or using Dalilou, you confirm that you have read, understood and agree to be bound by these Terms together with any policies or additional terms expressly incorporated by reference.

If you do not agree to these Terms, you must not use the Dalilou services.

02

About Dalilou

Dalilou provides AI-powered sales tools designed to help businesses engage website visitors, answer questions, qualify opportunities, capture contact information, score leads and facilitate bookings.

Features may include the Dalilou SaaS platform, AI Sales Agent, WordPress integration, website widget, lead management functionality, notifications and booking-related tools.

The exact features available to a Customer depend on the applicable plan, configuration and current product offering.

03

Eligibility and authority

Dalilou is intended primarily for business and professional use.

If you use Dalilou on behalf of a company, organization or other legal entity, you represent that you have authority to accept these Terms on its behalf.

You must not use Dalilou if applicable law prohibits you from entering into these Terms or receiving the services.

04

Accounts and security

You are responsible for providing accurate account information and keeping your login credentials secure.

  • You must not share credentials in a way that creates unauthorized access.
  • You are responsible for activity carried out through your account unless caused by Dalilou’s own breach or misconduct.
  • You should notify us promptly if you become aware of unauthorized access or suspected account compromise.
  • You must keep your business, contact and billing information reasonably up to date.

We may require reasonable verification steps to protect accounts or investigate suspicious activity.

05

Free trials

Dalilou currently offers a 7-day free trial.

Unless different terms are clearly displayed during signup, no payment card is required to begin the trial and the trial does not automatically create a paid subscription.

Trial functionality, limits and availability may differ from paid plans and may change for future promotions. Any specific trial conditions displayed at signup form part of these Terms for that trial.

06

Paid subscriptions and billing

Paid plans are billed according to the price, billing frequency and plan details shown at checkout or in the Customer account at the time of purchase.

Recurring subscriptions may renew automatically for successive billing periods unless cancelled before the next renewal is processed.

You authorize Dalilou and its payment service providers to charge the applicable subscription fees, taxes and other clearly disclosed amounts using the payment method provided for the subscription.

We may change pricing or plan structures in the future. Where a change affects an existing recurring subscription, we will provide notice where required and apply the change in accordance with applicable law and the information communicated to the Customer.

07

Usage limits and quotas

Dalilou plans may include limits based on leads, websites, features, usage or other service metrics.

Applicable limits are described on the pricing page, during checkout or within the Customer account. Access to certain functionality may be limited when the applicable plan limit has been reached.

Unused quotas do not have a cash value and do not automatically create a right to a refund, credit or rollover unless Dalilou expressly states otherwise.

08

Cancellation and refunds

You may cancel a recurring subscription before its next renewal. Unless otherwise stated, cancellation stops future renewals and paid access normally continues until the end of the billing period already paid for.

Subscription charges are generally non-refundable once a paid billing period has started, except where required by applicable law or where Dalilou approves a refund for a confirmed billing error, duplicate charge or other appropriate circumstance.

Full details are available in our Refund & Cancellation Policy.

09

Customer responsibilities

Customers control how Dalilou is configured and used on their websites and remain responsible for their own business activities.

You are responsible for:

  • The accuracy and legality of information, instructions and content supplied to Dalilou.
  • The configuration of your Sales Agent and the questions or information it requests from website visitors.
  • Providing any privacy notices, cookie notices or consent mechanisms required on your website.
  • Ensuring that your use of visitor information and Dalilou-generated leads complies with applicable law.
  • Reviewing AI-generated outputs where human review is appropriate.
  • Maintaining appropriate access rights for your website, WordPress installation and connected services.
10

Acceptable use

You must not use Dalilou to:

  • Break applicable laws or regulations.
  • Facilitate fraud, deception, harassment, abuse or unlawful discrimination.
  • Collect or process personal information unlawfully.
  • Transmit malware, malicious code or content intended to compromise systems or users.
  • Attempt to gain unauthorized access to Dalilou, other accounts or connected infrastructure.
  • Interfere with the security, integrity, availability or normal operation of the service.
  • Reverse engineer, probe or exploit the service except where such restriction is prohibited by law.
  • Use Dalilou to make unlawful or inappropriate decisions about individuals solely on the basis of AI-generated scores or classifications.
  • Misrepresent Dalilou-generated content as guaranteed, verified or error-free where that would be misleading.

We may investigate suspected violations and take reasonable steps to protect the service, Customers, website visitors and third parties.

11

AI-generated outputs and lead scoring

Dalilou uses artificial intelligence to generate responses, interpret conversations, qualify opportunities and assist with lead scoring.

AI outputs may be incomplete, inaccurate or inappropriate.

Customers should review outputs where accuracy is important and should not rely on Dalilou as the sole basis for decisions that produce legal or similarly significant effects on individuals.

Lead scores and classifications are tools intended to assist business workflows. They do not guarantee that a lead will become a customer, generate revenue or produce any particular business outcome.

12

Customer content and data

As between you and Dalilou, you retain your rights in the business information, website content, configuration information and other content you provide to the service.

You grant Dalilou the limited rights necessary to host, process, transmit, display and otherwise use that content solely as needed to provide, secure and operate the service and to comply with applicable law.

You represent that you have the rights and permissions necessary to provide such content to Dalilou and to instruct us to process it as part of the service.

13

Privacy and data protection

Our handling of personal information is described in the Privacy Policy.

Where Dalilou processes personal information on behalf of a business Customer, the Customer may act as controller or business and Dalilou may act as processor or service provider, depending on the applicable law and processing activity.

Where required, additional data-processing terms may apply through a separate data-processing agreement.

Customers remain responsible for establishing an appropriate legal basis for their own collection and use of website visitor information through Dalilou.

14

Third-party services and integrations

Dalilou may rely on or integrate with third-party services such as hosting providers, AI providers, payment processors, WordPress, WooCommerce, Shopify and calendar-related services.

Third-party services are governed by their own terms and policies. Dalilou is not responsible for third-party services that are outside our reasonable control.

Changes, outages, restrictions or termination of a third-party service may affect related Dalilou functionality.

15

Intellectual property

Dalilou, including its software, platform, website, branding, user interface, documentation, designs and related technology, is owned by Chabir LLC or its licensors and is protected by applicable intellectual-property laws.

Subject to these Terms and payment of applicable fees, Dalilou grants the Customer a limited, non-exclusive, non-transferable and revocable right to use the service for its internal business purposes during the applicable subscription or trial period.

No ownership rights in Dalilou are transferred to the Customer.

16

Service availability and changes

We aim to provide a reliable service, but Dalilou is not guaranteed to be available without interruption, delay or error.

We may maintain, update, modify, replace or discontinue parts of the service as the product evolves, including to improve security, performance, usability or compliance.

We will use reasonable efforts to avoid materially reducing paid functionality during an active billing period without appropriate notice where practical.

17

Suspension and termination

We may suspend or restrict access where reasonably necessary to protect the service or third parties, including in cases of suspected fraud, security risk, non-payment, abuse or material breach of these Terms.

Where appropriate, we may provide notice and an opportunity to remedy the issue before termination, but immediate action may be taken where reasonably necessary for security, legal compliance or prevention of harm.

Upon termination or expiry, the Customer’s right to use paid service functionality ends, subject to any continued access expressly stated in the applicable cancellation or billing terms.

18

Disclaimers

To the maximum extent permitted by applicable law, Dalilou is provided on an “as available” and “as is” basis.

We do not warrant that the service will always be uninterrupted, error-free or suitable for every business purpose, or that AI-generated responses, classifications, lead scores or recommendations will always be accurate.

Dalilou does not guarantee any specific number of sales, customers, appointments, conversions, revenue or other commercial result.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

19

Limitation of liability

To the maximum extent permitted by applicable law, Chabir LLC and its affiliates, officers, employees and contractors will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunities, goodwill or data arising from use of Dalilou.

To the maximum extent permitted by applicable law, Chabir LLC’s aggregate liability arising out of or relating to the paid services will not exceed the fees paid by the Customer to Dalilou for the affected service during the 12 months preceding the event giving rise to the claim.

The limitations above do not apply to liability that cannot lawfully be limited or excluded.

20

Indemnification

To the extent permitted by applicable law, a business Customer agrees to defend, indemnify and hold harmless Chabir LLC from third-party claims, losses or expenses arising from the Customer’s unlawful use of Dalilou, Customer content, violation of these Terms, or infringement of third-party rights.

This obligation does not apply to the extent a claim results from Dalilou’s own unlawful conduct or matters for which indemnification cannot legally be required.

21

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

Where legally permitted, disputes arising from these Terms or the Dalilou service will be brought in the competent state or federal courts located in Delaware, United States.

Nothing in this section deprives a person of mandatory protections or jurisdictional rights that cannot lawfully be waived.

22

Changes to these Terms

We may update these Terms as Dalilou, our business model or applicable law changes.

When material changes are made, we will update the “Last updated” date and may provide additional notice where appropriate.

Continued use of Dalilou after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

23

General terms

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

A failure by Dalilou to enforce a provision does not waive our right to enforce it later.

You may not assign these Terms without our prior written consent, except where such restriction is prohibited by law. Chabir LLC may assign these Terms in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of the relevant business or assets.

These Terms, together with the policies and additional terms expressly incorporated by reference, form the agreement between the parties concerning the Dalilou service unless a separate written agreement states otherwise.
